House Foods Group Code of Conduct for Compliance
General Provisions
We, the officers and the employees (employees mean all employees including short-term contract employees, part-time employees and temporary workers, etc.) of the House Foods Group, recognize "our customers" to be origin of all our corporate activities. Therefore, in order to be of service to "our customers," to provide valuable products and services that will be appreciated by "our customers," and to contribute to the diet and well-being of "our customers," we will, not only observe applicable laws and regulations but as responsible members of society and as members of the House Foods Group, conduct ourselves in accordance with the sense of public decency, based on strong moral and ethical standards.
I. Relations with society
- To preserve the global environment and to contribute to building a sustainable society, we will, in addition to complying with applicable laws and regulations, reduce any adverse impact on the environment that results from any stage of a product's lifecycle, from ingredients procurement and manufacturing to distribution, use, recycling, and disposal.
- We will neither engage in illegal activities, nor the pursuit of profit by improper means, nor acts that are unaccountable to society, nor acts that will damage the credit and reputation of the company.
- We will form a close partnership/cooperative relationship with the regional society and take part in various social action programs as a good corporate citizen.
- As our moral mandate, we will take determined action against anti-social influences and groups that threaten public order and safety, and block all contact with such entities.
II. Relations with our customers
- We will always put ourselves in "our customers'" shoes and give the highest priority to the quality and safety of the products/services that we offer.
- We will not only take all possible measures to prevent accidents and problems related to the quality and safety of our products/services, but also respond in earnest and in a prompt manner once such accidents or problems occur.
- We will avoid displays and expressions that may cause misconception to "our customers" about the quality, function, specifications, etc. of our products/services.
III. Relations with business partners
- We will conduct honest and fair transactions with all our business partners and maintain relationships based on transparency.
- We will not engage in unreasonable business practices, and will always deal with our business partners in a sincere and fair way.
- We will not seek personal gain by accepting any benefits or special convenience in our operations.
- We will conduct ourselves according to sound business practices and social norms with regard to providing or receiving entertainment or exchange gifts with business partners and others.
IV. Relations with shareholders and investors
- We will disclose reliable and useful corporate information to our shareholders and investors in an appropriate and timely manner, upon taking into consideration the necessity for confidentiality.
- We will not engage in insider trading that utilizes undisclosed information concerning the House Foods Group companies or the Group's business partners that has been acquired in the course of execution of duties.
- We will strive to enhance our corporate value and aim for our sustained development through the precise and efficient operation of our corporate governance and internal controls systems.
V. Management of company assets and information
- We will strictly manage our company's assets (both tangible and intangible) and corporate information in accordance with internal regulations and will not use them for improper purposes.
- We will respect, to the utmost extent, and not infringe upon or illegally use the rights and assets of others.
- We will strictly manage our company's confidential information (including personal information), and we will not use, disclose or leak such information in a manner that is illegal or improper not only during our employment at our company but also after our departure from the company.
- We will not illegally access or obtain confidential information on or held by customers, business partners or others.
- We will actively secure the results of our R&D and other intellectual activities as intellectual property rights and at the same time respect and not infringe upon the intellectual property rights of third parties.
VI. Relations with employees
- We will respect the fundamental human rights of all people as well as the privacy of individuals.
- We will not tolerate discriminatory treatment, abuse or harassment of any kind including sexual harassment on the grounds of race, nationality, ethnicity, beliefs, religion, gender, age, disabilities, tastes, academic background or other factors.
- We will respect each other's personality and values, and create a safe and healthy workplace that helps employees to perform at their best. We will also enlighten each other, including in our relations among the companies of the House Foods Group, and strive to foster a corporate culture that is full of vitality and makes our work worthwhile.
VII. Relations with the international society
- As a member of the international society, we will understand and comply with the applicable laws of the relevant countries and international laws and promote sound business activities.
- We will actively seek to communicate with the local communities and by respecting their human rights, culture, tradition and practice, maintain and promote a amicable relationship with the local community.
